Welcome to Patentelligence ("we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of our website and all services, reports, and data provided by us (collectively, the "Service").
By accessing our website or using our Service, you ("Client," "you") agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you are not authorized to access the Service.
2. Description of Services
Patentelligence provides intellectual property analysis and intelligence reports to support decision-making. Our services include, but are not limited to, the "Maintenance Fee Intelligence Report," "360º Comprehensive Intelligence Report," "IP Market Valuation Snapshot," and "Licensing Intelligence Report." These reports offer valuations, commercialization analysis, potential infringement signaling, and strategic recommendations based on our proprietary methodology and data.
3. Use of Services and Client Obligations
Accurate Information: You agree to provide accurate, current, and complete information when ordering our Services, including correct patent numbers and contact details.
Authorization: You represent and warrant that you have the legal authority to provide the patent or patent portfolio information for analysis and are not violating any confidentiality agreements or third-party rights.
Permitted Use: You agree to use the Service and the reports generated solely for your legitimate internal business purposes. You are strictly prohibited from reselling, distributing, modifying, or creating derivative works from our reports without our express written consent.
Prohibited Conduct: You must not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.
4. Orders, Payment, and Delivery
Fees: Fees for our reports and services will be specified on our website or in a custom quote. All fees are quoted in U.S. Dollars (USD) unless otherwise stated.
Payment: Full payment must be made before the generation and delivery of any report. We use third-party payment processors to securely handle transactions.
Refund Policy: Due to the nature of the data and analysis provided, all sales of reports are final and non-refundable once the generation process has begun or the report has been delivered.
Delivery: Reports will be delivered electronically to the email address you provide. We strive to meet estimated delivery timelines but do not guarantee exact delivery dates.
5. Intellectual Property
A. Client's Property: You retain full ownership of your patents, patent applications, and any confidential data you submit to us for analysis. We claim no ownership rights in your underlying intellectual property.
B. Patentelligence's Property: We are the sole and exclusive owners of our Services, methodologies, software, algorithms, trademarks (including Patentelligence™ and Commercialization Likelihood Percentage™), and the structure, organization, and content of the generated reports. Your purchase of a report does not transfer any ownership rights in our intellectual property to you.
C. Report Usage License: Upon purchasing a report, we grant you a limited, non-exclusive, non-transferable, perpetual license to use that report for your internal business purposes only.
6. Confidentiality
We are committed to maintaining the confidentiality of your intellectual property information and the data you provide to us. Our obligations of confidentiality are described in detail in our Privacy Policy, which is incorporated by reference into these Terms.
7. Disclaimer of Warranties
THE SERVICE AND ALL REPORTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Not Legal or Financial Advice: Our reports and recommendations are decision-support tools based on data analysis. They do not constitute legal, financial, or investment advice, nor are they formal appraisals for tax or litigation purposes. We strongly advise you to consult qualified legal and financial professionals before making any decisions based on our reports.
No Guarantee of Results: While we strive to provide accurate and valuable analysis, we do not warrant the accuracy, completeness, or usefulness of any information. Valuations, the "Commercialization Likelihood Percentage™ (CLP)," and valuation bands are estimates based on our methodology and do not guarantee commercial success, licensing outcomes, or a specific market value.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATENTELLIGENCE, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE REPORTS PROVIDED.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to defend, indemnify and hold harmless Patentelligence and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service or a breach of these Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the State of Maryland for the resolution of any disputes.
11. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after those revisions become effective constitutes your agreement to the new terms.
